1. Acceptance of Terms

By accessing or using the Vessel4you platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Vessel4you ("we," "our," or "us").

These Terms apply to all users worldwide, regardless of location. Additional terms may apply based on your jurisdiction, and in case of conflict, the more protective provision shall prevail.

2. Description of Service

Vessel4you is an online maritime marketplace that connects vessel owners, hirers (charterers), and brokers. The Platform provides:

  • Vessel listing and discovery with map-based search (viewport, radius, and draw-area modes).
  • A vessel taxonomy covering 7 categories and 66 vessel types.
  • Availability management with location, date ranges, and routing notes.
  • Load/cargo posting for hirers seeking vessels.
  • A bidding engine for competitive pricing.
  • Platform messaging for negotiations and communications.
  • Member bridge for fleet, bid, and activity management.

Vessel4you acts solely as an intermediary platform. We do not own, operate, or manage any vessels. We are not a party to any charter agreement, transport contract, or transaction between users.

Important: Any track lines, transit routes, or route visualisations displayed on the Platform are provided for indicative and informational purposes only. They must not be used for navigation, passage planning, or any other operational maritime purpose. Users must rely on official nautical charts, approved Electronic Chart Display and Information Systems (ECDIS), and qualified navigational officers for all vessel navigation and passage planning.

3. User Accounts

3.1 Registration

To access certain features, you must create an account. You must provide accurate and complete information and keep your account details current. You are responsible for maintaining the confidentiality of your login credentials.

3.2 User Roles

  • Vessel Owners: May list vessels, set availability, manage fleet details, and respond to bids.
  • Hirers: May search for vessels, post load requirements, submit bids, and communicate with owners.
  • Brokers: May act as intermediaries, facilitate transactions, and access broker-specific features.

3.3 Account Responsibility

You are solely responsible for all activity under your account. You must notify us immediately of any unauthorised access or security breach. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Obligations

By using the Platform, you agree to:

  • Provide truthful, accurate, and non-misleading information in all listings, bids, and communications.
  • Ensure vessel specifications, availability data, and location information are current and accurate.
  • Comply with all applicable maritime regulations, local laws, and international conventions relevant to your operations.
  • Conduct due diligence on counterparties before entering into any agreement.
  • Not use the Platform for any unlawful purpose, fraudulent activity, or in any way that could damage, disable, or impair the Platform.
  • Not scrape, harvest, or collect data from the Platform through automated means without authorisation.
  • Not impersonate any person or entity, or misrepresent your affiliation.
  • Not post harmful, offensive, or misleading content.

5. Listings and Content

5.1 User Content

You retain ownership of content you submit (vessel descriptions, photographs, load requirements, etc.). By posting content on the Platform, you grant us a worldwide, non-exclusive, royalty-free licence to display, distribute, and promote your content in connection with the Platform's operation.

5.2 Content Standards

All content must be accurate, lawful, and not infringe upon any third party's intellectual property or other rights. We reserve the right to remove content that violates these standards without prior notice.

5.3 No Endorsement

The presence of a listing or user profile on the Platform does not constitute our endorsement, recommendation, or guarantee of any vessel, service, or user.

6. Bidding and Transactions

6.1 Bidding Process

Bids submitted through the Platform represent a good-faith offer. Users are expected to honour accepted bids. The Platform facilitates the bidding process but does not guarantee the completion of any transaction.

6.2 Contractual Relationships

Any charter agreement, contract of affreightment, or other arrangement arising from Platform interactions is solely between the respective users. Vessel4you is not a party to, and bears no liability for, any such agreement.

6.3 Dispute Resolution Between Users

Users are responsible for resolving disputes arising from transactions conducted through the Platform. While we may provide communication tools, we are not obligated to mediate or resolve disputes between users.

7. Fees and Payment

Use of the Platform may be subject to fees as outlined on our Fees page. We reserve the right to modify our fee structure with reasonable advance notice. Non-payment or late payment may result in suspension of account features.

8. Intellectual Property

The Platform, including its design, logos, software, text, graphics, and other content (excluding user-submitted content), is owned by Vessel4you and protected by intellectual property laws worldwide. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
  • We do not warrant the accuracy, completeness, or reliability of any vessel listing, user profile, bid, or other content on the Platform.
  • We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any transaction between users.
  • We are not responsible for the seaworthiness, condition, or legal compliance of any vessel listed on the Platform.
  • Our total liability for any claim shall not exceed the fees you have paid to us in the twelve (12) months preceding the claim.
  • All track lines, transit routes, route visualisations, and geographic data displayed on the Platform are for indicative and informational purposes only. They are not suitable for navigation, passage planning, or any operational maritime use. Vessel4you accepts no liability whatsoever for any loss, damage, grounding, collision, or any other incident arising from the use of Platform route data for navigational purposes.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

10. Indemnification

You agree to indemnify and hold harmless Vessel4you, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your content, your violation of these Terms, or your violation of any applicable law or third-party rights.

11. Termination

We may suspend or terminate your access to the Platform at any time for violation of these Terms or for any other reason at our reasonable discretion, with notice where practicable. You may close your account at any time. Upon termination, your right to use the Platform ceases, but provisions that by their nature should survive (including liability limitations, indemnification, and dispute resolution) shall remain in effect.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your jurisdiction require otherwise.

For users in the European Union, you may also have the right to use the EU Online Dispute Resolution platform. For users in other jurisdictions, local consumer protection laws may provide additional rights that cannot be waived by contract.

13. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform following any modifications constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
